Important: By accessing or using any service provided by Argos B2B ("Company," "we," "us," or "our") at ArgosB2B.net or through our platform, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Argos B2B, operating at ArgosB2B.net. By submitting a contact form, scheduling a demo, signing up for our services, or accessing our platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Argos B2B provides a white-label marketing automation and customer relationship management (CRM) platform designed for local service businesses, including but not limited to plumbers, electricians, and restaurant owners. Our services include:

  • Automated SMS and email follow-up systems
  • AI-powered phone answering and call transcription
  • Google Business Profile management and review request automation
  • Customer pipeline and CRM management tools
  • Landing page and lead capture form setup
  • Payment processing integration and reporting dashboards
  • Paid advertising campaign management (where applicable)

Services are delivered through a third-party platform configured and branded by Argos B2B. The specific scope of services for each client is defined at the time of onboarding.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a legally registered business entity or sole proprietor operating lawfully in your jurisdiction
  • Have the legal authority to enter into binding contracts
  • Not be located in a jurisdiction where our services are prohibited

4. Account Registration & Security

When we create your platform account, you will be provided with login credentials. You are responsible for maintaining their confidentiality, all activity under your account, and notifying us immediately of any unauthorized access at hello@argosb2b.net. We are not liable for losses arising from your failure to protect your credentials.

5. Payment & Billing

Monthly Fees

Services are billed on a monthly recurring basis. The applicable fee for your service tier is communicated at onboarding and confirmed in writing. All fees are due on the same calendar date each month.

Usage-Based Charges

Certain features — including AI phone answering, SMS messaging, and outbound calling — carry usage-based costs passed through from our platform provider. These costs are either included in your plan or itemized separately as disclosed at onboarding.

Late Payments & Suspension

Accounts with overdue balances beyond 7 days may be suspended. Accounts suspended for more than 30 days may be permanently terminated and data deleted. We are not responsible for business loss resulting from suspension due to non-payment.

Refund Policy

All fees are non-refundable unless otherwise required by applicable law or explicitly agreed in writing. Setup fees are non-refundable under all circumstances.

6. Acceptable Use

You agree to use our services only for lawful business purposes. You may not use our platform to:

  • Send spam or communicate with individuals who have opted out
  • Violate any federal, state, or local laws including TCPA and CAN-SPAM
  • Impersonate any person or entity or misrepresent your affiliation
  • Transmit harmful, offensive, defamatory, or fraudulent content
  • Reverse engineer, copy, or replicate our platform configurations
  • Resell or transfer account access to any third party without written permission

Violation of this section may result in immediate account termination without refund.

7. Intellectual Property

All configurations, workflows, templates, landing pages, and automation sequences created by Argos B2B remain our intellectual property unless explicitly transferred in writing. You retain ownership of your own business data and customer contact information. You grant Argos B2B a limited license to use your business name, logo, and materials solely to provide the services.

8. Data & Privacy

You are the data controller for your customers' information. Argos B2B acts as a data processor on your behalf. You are solely responsible for:

  • Obtaining all necessary consents from your customers before collecting their data
  • Ensuring your use of automated messaging complies with applicable laws (TCPA, CAN-SPAM, GDPR where applicable)
  • Maintaining and honoring opt-out mechanisms for your customers

9. Third-Party Services

Our platform integrates with third-party services including telephony, payment processing, and advertising providers. Your use of these integrations is subject to their respective terms of service. We are not responsible for the performance, availability, or data practices of third-party providers.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee specific business results, lead volume, revenue increase, review count, or return on investment. Results vary based on factors outside our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGOS B2B SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. Our total liability for all claims shall not exceed the total amount you paid to us in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Argos B2B and its principals, employees, and contractors from and against any claims, damages, fines, costs, and expenses arising from your use of our services in violation of these Terms, your violation of applicable law, or any third-party claims arising from your use of the platform.

13. Termination

Either party may terminate with 30 days written notice by email. We may terminate immediately if you violate these Terms, fail to pay fees beyond 30 days, or use the platform for unlawful purposes. Upon termination, we will make reasonable efforts to export your customer data upon written request within 14 days. Account data may be permanently deleted 30 days post-termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [YOUR STATE]. Any disputes shall be resolved through binding arbitration under AAA rules in [YOUR CITY, STATE]. You waive any right to a jury trial or class action participation.

15. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify active clients of material changes by email at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
